Tesla Investors to Cast Their Ballots on Mammoth $1 Trillion Compensation Package for CEO Elon Musk

Investors in the electric car maker gathered this Thursday to vote on a massive pay deal for Chief Executive Elon Musk valued at around $1 trillion. Upon approval, this package would demonstrate market faith that the entrepreneur can lead the automaker into an age dominated by artificial intelligence and robotics. Should it fail, Tesla could confront the loss of a visionary leader who previously established the corporation interchangeable with electric vehicles.

Record-Breaking Milestones and Company Valuation

If the CEO meets the ambitious objectives detailed in the compensation plan revealed at Tesla's shareholder gathering, he could emerge as the pioneering trillionaire. To reach this goal, he must lead Tesla to a monumental $8.5 trillion in company worth, which is eight times its existing market cap. Moreover, he will be required to launch numerous driverless automobiles and bipedal machines, while upholding the company's bottom line in the massive revenue figures in the upcoming decade.

Payment Breakdown

The key aims of the pay package, organized into twelve stages, chart a roadmap for Tesla to reach its colossal market capitalization. Should targets be met, Musk would be in a position to benefit from an additional 12% of the firm's equity. To be eligible, he must stay committed with the corporation for a minimum of 7.5 years. Additionally, he must help develop a long-term succession plan for the organization he has led for more than 20 years. The stock options awarded by the updated remuneration deal, combined with shares promised in his previous compensation plan, would grant Musk with a quarter stake of Tesla's shares. In early November, Tesla stock was trading close to its annual peak, at approximately $450 per stock.

Ambitious Targets

Throughout a ten-year period, Musk will be required to manufacture 20 million electric vehicles to consumers, distribute 10 million active full self-driving subscriptions, develop and sell 1 million bipedal machines, and deploy 1 million robotaxis in revenue-generating use.

Musk will additionally be tasked to increase the company to $400 billion in tangible revenue for four straight quarters. Tesla's actual earnings for the third quarter of 2025 were $4.2 billion, a 9% decrease from the year before.

As of November, Musk's fortune was pegged at $460 billion, the top in the world, as reported by market tracking.

Reviving a Revoked Plan

Stockholders are furthermore considering a plan that would compensate Musk after his previous pay package was voided by a court in Delaware. The compensation package, estimated to be $56 billion, was contested by a single stockholder who prevailed in court. The state court rejected Musk's remuneration deal on multiple instances. Should investors pass the plan in Thursday's vote, Musk is expected to be awarded the massive amount irrespective of whether Tesla and Musk succeed in appealing of the legal matter.

Following Musk's 2018 pay package was originally overturned, he transferred Tesla's corporate home to Texas from Delaware. He followed suit with the rocket firm and other companies' headquarters. In 2024, under Texas law, shareholders for a second time passed the pay package.

But Delaware's so-called "court of equity" once again denied one of the largest CEO compensation packages in contemporary business. After that negative decision, Musk took to social media to express dissatisfaction with the jurisdiction and its "prominent judicial figure", perhaps sparking a series of corporate exits that Delaware lawmakers have tried to stop with legislation.

In considering whether Musk had undue influence in being awarded that previous compensation plan, a noted law professor commented that the judicial authority recognized that other "superstar CEOs" like Facebook's founder and the e-commerce pioneer were not given this type of incentive-based contracts.
